PLEASE READ THESE TERMS OF SERVICE ("AGREEMENT" OR "TERMS") CAREFULLY BEFORE ACCESSING OR USING THE CALL IT PLATFORM. BY CREATING AN ACCOUNT, ACCESSING, OR USING THE PLATFORM IN ANY MANNER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE PLATFORM.

These Terms constitute a legally binding agreement between you ("User," "Player," or "you") and Handshake Media LLC ("Handshake Media," "Company," "we," "us," or "our"), governing your access to and use of the Call It mobile application, website, and all related services (collectively, the "Platform").

1. Acceptance of Terms

By registering for an account, downloading the application, or otherwise accessing the Platform, you represent and warrant that: (a) you are at least thirteen (13) years of age, or the legal age of majority in your jurisdiction if higher; (b) you have the legal capacity to enter into this Agreement; (c) you are not prohibited by applicable law from participating in skill-based contests; (d) your use of the Platform complies with all applicable laws and regulations in your jurisdiction; and (e) you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Description of the Platform

Call It is a skill-based competitive gaming platform created and operated by Handshake Media that enables registered users to participate in skill-based prediction contests. The Platform operates as a marketplace for skill-based prediction contests and is not a gambling operator. All contest outcomes are determined solely by the relative skill of the competing players. The Platform utilizes third-party technology to facilitate the contest functionality. Handshake Media retains full responsibility for all Platform rules, user agreements, and compliance obligations.

3. Eligibility

3.1 Age Requirements

You must be at least thirteen (13) years of age (or the minimum legal age in your jurisdiction, if higher) to access and participate in free-to-play Games, and at least eighteen (18) years of age (or the minimum legal age of majority in your jurisdiction, if higher) to access and participate in cash Games. Players aged 13-17 will be eligible to win non-cash prizes such as coupons, discounts, and merchandise. Players aged 18+ will be eligible to win all prizes available on Call It.

3.2 Geographic Restrictions

Access to Platform features varies by jurisdiction. Call It offers free-to-play contests, which are covered under the Terms of Service for the third-party technology.

Geographic availability is subject to change without prior notice as laws and regulations evolve, and Handshake Media reserves the right to expand or restrict access in additional jurisdictions at any time.

3.3 One Account Per User

Each individual is permitted to maintain only one (1) active account on the Platform. The creation of multiple accounts by a single individual is strictly prohibited and will result in the permanent suspension of all associated accounts and forfeiture of any balances therein. Handshake Media employs technical and administrative measures to detect and prevent multi-accounting.

4. Account Registration and Security

Account registration and security are subject to the Terms of Service of Handshake Media's underlying contest technology provider.

5. Contest Rules and Gameplay

5.1 All contests are free to enter and open to eligible registered users only.

5.2 Each contest is tied to content posted on various social media platforms. Games will open at the Handshake Media's discretion and close when the associated post goes live. No entries will be accepted after a contest closes.

5.3 Players must submit all answers before the contest closes. Partial submissions will not be counted.

5.4 Prize pools are sponsored and vary by contest — prizes may include cash, gift cards, coupons, or other rewards as specified in each individual contest. Players aged 13-17 are not eligible to win cash prizes. Players aged 18+ are eligible for all prizes.

5.5 Scoring is based on the number of correct answers submitted. In contests with tiered rewards, each prize tier will be clearly stated before the contest begins.

5.6 Scores for each game will be settled within 1-hour of content going live related to individual contests.

5.7 When multiple players tie for the top score of a contest with a cash prize pool, that cash prize will be split equally amongst all tied winners. Consolation prizes, when offered, will be distributed to all players who meet the stated qualifying score for that tier.

5.8 Each player is allowed one account only. Creating multiple accounts will result in permanent removal from the platform.

5.9 The use of artificial intelligence, automated tools, or any third-party assistance to answer questions is strictly prohibited. Additionally, individuals with prior knowledge of contest outcomes — including but not limited to content creators, production staff, camera operators, editors, or anyone with advance access to video results — are prohibited from participating in any contest tied to that content. Exploiting insider knowledge to gain an unfair advantage constitutes cheating, will result in immediate disqualification and permanent removal from the platform, and may be subject to further legal action.

5.10 Call It and its sponsor partners reserve the right to void any contest affected by technical errors, data issues, or circumstances outside their control.

5.11 All contests and disputes are subject to the Terms of Service of Call It's underlying contest technology provider.

6. Payments, Deposits, and Withdrawals

Deposits, withdrawals, payment processing, and related financial transactions are facilitated through Handshake Media's underlying contest technology provider and are subject to that provider's Terms of Service, which govern the mechanics of all financial transactions on the Platform. The following terms reflect Handshake Media's policies and obligations as they relate to your account and your use of the Platform.

6.1 Deposits

Users may fund their Platform account using payment methods made available on the Platform by the third-party contest technology. All deposits are subject to verification and may be subject to minimum and maximum limits. Handshake Media reserves the right to reject any deposit at its sole discretion.

6.2 Withdrawals

Users may request withdrawal of available funds subject to applicable verification requirements and withdrawal limits. Handshake Media reserves the right to withhold or delay withdrawals pending completion of identity or payment verification, or where Handshake Media has a reasonable basis to believe that account activity is fraudulent or violates these Terms.

6.3 Refund Policy

Entry fees are non-refundable once a contest has commenced. If a contest fails to start due to a verified Platform error solely attributable to Call It, affected entry fees will be credited to the user's Platform account balance. Handshake Media does not provide cash refunds of entry fees under any other circumstances.

6.4 Taxes

You are solely responsible for all taxes, duties, and charges applicable to any winnings you receive through the Platform. Handshake Media may be required by applicable law to collect tax identification information and to report certain winnings to taxing authorities. You agree to provide any requested tax documentation in a timely manner.

7. Platform Conduct and Community Standards

Users are expected to conduct themselves with respect and sportsmanship at all times. Handshake Media reserves the right, in its sole discretion, to suspend or permanently terminate any account for conduct that violates these Terms or the spirit of fair and respectful competition, including without limitation:

• Use of abusive, offensive, threatening, or discriminatory language.
• Harassment or intimidation of other users.
• Impersonation of any person or entity.
• Any conduct that disrupts the experience of other users on the Platform.

8. Intellectual Property

All content on the Platform, including the Call It name, logo, trademarks, software, graphics, user interface design, and all related materials (collectively, "Company Content"), are the exclusive property of Handshake Media or its licensors and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any Company Content without Handshake Media's prior written consent.

9. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. HANDSHAKE MEDIA DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HANDSHAKE MEDIA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY. IN NO EVENT SHALL HANDSHAKE MEDIA'S AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL ENTRY FEES PAID BY YOU IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

11. Indemnification

You agree to defend, indemnify, and hold harmless Handshake Media and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content you submit to or through the Platform.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before initiating any formal proceeding, you agree to contact Handshake Media at hello@handshakebets.io and attempt to resolve the dispute informally. Handshake Media will attempt in good faith to resolve the dispute within thirty (30) days of receiving written notice.

12.2 Binding Arbitration

If informal resolution is unsuccessful, you and Handshake Media agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Las Vegas, Nevada. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND HANDSHAKE MEDIA EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR OTHER REPRESENTATIVE PROCEEDING WITH RESPECT TO ANY CLAIM RELATING TO THE PLATFORM OR THESE TERMS.

12.4 Governing Law

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles, except to the extent preempted by the Federal Arbitration Act.

13. Modifications to Terms

Handshake Media reserves the right to modify these Terms at any time. When we make material changes, we will update the Effective Date at the top of this Agreement and, where appropriate, provide additional notice via in-app notification or email. Your continued use of the Platform following the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to modified Terms, you must discontinue use of the Platform and may close your account.

14. Account Termination

Call It reserves the right to suspend or terminate your account and your access to the Platform at any time, with or without notice, for any reason, including without limitation your violation of these Terms. Upon termination for cause, any funds remaining in your account may be forfeited. You may voluntarily close your account at any time by navigating to the Platform edit profile page. Termination does not limit Call It's right to pursue any other remedies available at law or in equity.

15. Miscellaneous

Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Handshake Media with respect to the Platform and supersede all prior understandings, representations, or agreements.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. Handshake Media's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment. You may not assign or transfer your rights or obligations under these Terms without Handshake Media's prior written consent. Handshake Media may assign its rights and obligations under these Terms without restriction.

Force Majeure. Handshake Media shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including without limitation acts of God, natural disasters, government action, or internet service disruptions.
